INVITATION TO SEALED BIDDING

Bulk Disposal of Real and Other Properties Acquired (ROPA) Assets

Bangko ng Kabuhayan (A Rural Bank), Inc. invites all SEC-registered companies to submit sealed bids for the bulk purchase of the Bank’s Real and Other
Properties Acquired (ROPA) assets.

I. PROPERTY DESCRIPTION AND MINIMUM BID PRICE

The list of 28 properties available for bulk disposal will be available on our website https://bangkongkabuhayan.com Bids submitted
lower that the indicated Minimum Wholesale Bid Price shall be automatically disqualified.

II. TERMS AND CONDITIONS OF SALE

1. “As-Is, Where-Is” Basis
The property is offered strictly on an “as-is, where-is” and “with all faults” basis. The Bank makes no warranties or representations, express or implied, as to the physical condition, boundaries, improvements, or legal status of the property.
2. Existing Liabilities and Occupancy
The property may be subject to unpaid real property taxes, penalties, association dues, or possible occupancy/encroachment issues. All such conditions shall be for the account of the buyer.
3. Due Diligence Requirement
Bidders are encouraged to conduct independent due diligence, including physical site inspection, verification of title authenticity at the Registry of Deeds, and verification of tax standings at the Local Assessor’s Office prior to bidding.

III. SUBMISSION OF BIDS

Official Bid Form – All bids must be submitted using the official Bid Tender Form of the Bank, available at the Head Office, Branches or through the Bank’s official website.

Sealed Envelope Requirement – The accomplished Bid Form, together with required identification documents, must be placed in a sealed envelope labeled as follows:

“BID FOR BULK ROPA OF BANGKO NG KABUHAYAN (A RURAL BANK), INC.: – DO NOT OPEN BEFORE [Insert Date & Time]”

Bid Deposit – Each bid must be accompanied by a Bid Deposit equivalent to fifty percent (50%) of the total bid amount, in the form of a cheque under the name of the bidding company, payable to the Bank’s BDO account:

Cash payments shall not be accepted.

IV. EVALUATION AND TAX RESPONSIBILITIES

Right to Reject
The Bank reserves the right to reject any or all bids, waive minor defects, and accept the bid deemed most advantageous.
Taxes and Expenses
Unless otherwise specified in the Deed of Sale, the Bank shall shoulder the Capital Gains Tax (CGT) or Creditable Withholding Tax (CWT) based on the Minimum Bid Price. The winning bidder, on the other hand, shall shoulder:
-Documentary Stamp Tax (DST)
-Transfer and Registration Fees
-All unpaid Real Property Taxes (RPT), including penalties
-Costs related to eviction or clearing of the property, if applicable
